§ 1 Definitions and Contracting Parties

1.1 Intermediary

Terra Mia Immobiliare, owner Oskar Golde, Regattastraße 9h, 16816 Neuruppin, Germany. VAT ID: DE302445319. Operator of the portal network at terra-mia.immo and all associated domains.

1.2 Owner

Natural or legal person who offers one or more vacation rentals or properties for rent or sale through the intermediary's portal network.

1.3 Prospect

Vacation guests who wish to book a vacation rental, or buyers who wish to purchase a property.

1.4 Contract Formation

The contract between the intermediary and the owner is formed upon registration at cms.terra-mia.immo and acceptance of these terms and conditions.

§ 2 Scope of Services and Limitations

2.1 Intermediary Services

Terra Mia Immobiliare acts as an intermediary between owners of vacation rentals and real estate and prospective guests or buyers. Terra Mia Immobiliare is neither a tour operator nor a licensed real estate agent, but a pure intermediary.

2.2 Not a Contracting Party

The rental or purchase agreement is concluded exclusively between the owner and the prospect. Terra Mia Immobiliare is not a party to this legal transaction.

2.3 No Verification Obligation

Terra Mia Immobiliare is not obligated to verify the existence, quality, legal compliance, or condition of the listed properties. Responsibility for all information lies exclusively with the owner.

2.4 No On-Site Services

Terra Mia Immobiliare does not provide on-site services. There is no key handover, no property management, and no local administration. All services are provided via phone, email, and messenger.

§ 3 Registration and Owner Obligations

3.1 Truthful Information

The owner is obligated to provide truthful and complete information during registration and throughout the contract period. Changes (address, contact details, bank details) must be communicated immediately.

3.2 Authorization

The owner confirms that they are legally competent and authorized to rent or sell the property. No third-party rights may be violated.

3.3 Legal Requirements

The owner guarantees that the property complies with all legal requirements, that all necessary permits are in place, and — where applicable — that a valid Codice Identificativo (CIN) is registered. The collection and payment of all taxes and fees (including tourist taxes) is the responsibility of the owner.

3.4 Data Security

The owner is responsible for the secure storage of their login credentials and is liable for all activities carried out under their account.

§ 4 Marketing Services

4.1 Portal Network

Terra Mia Immobiliare promotes the owner's properties on its own portal network, social media channels, through search engine optimization (SEO), answer engine optimization (AEO), and where applicable on partner portals.

4.2 Content Creation

As part of the intermediary service, Terra Mia Immobiliare creates multilingual property descriptions (DE/EN/IT) based on information and photos provided by the owner. The owner is responsible for the accuracy of the source information.

4.3 Communication with Prospects

Terra Mia Immobiliare receives inquiries from prospects, provides advice, and facilitates contact with the owner. After successful contact establishment, Terra Mia Immobiliare steps back — the contract is concluded directly between the parties.

§ 5 Brokerage: Vacation Rentals

5.1 Booking Calendar

The owner is obligated to keep the booking calendar up to date at all times. Bookings from other sources must be blocked in the calendar within 24 hours.

5.2 Pricing

Prices are set by the owner. Terra Mia Immobiliare displays these prices on the portals and makes no independent price commitments. Price changes must be communicated immediately.

5.3 Double Bookings

In case of double bookings, the booking made through Terra Mia Immobiliare takes priority. If the owner cannot fulfill a booking due to a double booking, they are obligated to offer the prospect an equivalent alternative or refund all amounts already paid.

5.4 Not a Tour Operator

Terra Mia Immobiliare is not a tour operator within the meaning of the Package Travel Directive. No tour operator obligations apply.

§ 6 Brokerage: Real Estate Sales

6.1 Scope of Service

Terra Mia Immobiliare connects prospective buyers with the owner. The service includes presenting the property on the portals, processing inquiries, and establishing contact between the parties.

6.2 No Process Guidance

Terra Mia Immobiliare does not accompany the purchase process and does not provide legal advice. The handling of the purchase contract is exclusively between the owner and the buyer, where applicable with the involvement of a notary or lawyer.

6.3 Not a Real Estate Agent

Terra Mia Immobiliare is not a licensed real estate agent. The service is purely a contact intermediation service. No real estate agent rights or obligations apply.

§ 7 Commission and Payment Terms

7.1 Commission Rate

The commission is agreed individually and communicated to the owner in writing before the contract begins. The commission is added to the owner's net price and is included in the total price for the prospect.

7.2 Due Date

For vacation rentals: The commission is invoiced immediately after each booking. For real estate sales: The commission becomes due after successful intermediation (completion of the notarial purchase contract).

7.3 Payment Term

Invoices are to be settled within the individually agreed period (maximum 14 days from the invoice date). In case of late payment, default interest at the statutory rate will be charged.

7.4 Commission on Cancellation

The commission claim remains valid if the cancellation occurs after the contract between the owner and the prospect has been concluded, provided the cancellation is not due to fault on the part of Terra Mia Immobiliare.

§ 8 Liability

8.1 Exclusion of Liability

Terra Mia Immobiliare is not liable for: rental losses, damage caused by guests or buyers, defects of the property, disputes between owner and prospect, incorrect information provided by the owner, or the condition, quality, or equipment of the brokered properties.

8.2 Limited Liability

The liability of Terra Mia Immobiliare is excluded except in cases of intent or gross negligence, injury to life, body, or health, and breach of essential contractual obligations. In cases of simple negligence, liability is limited to foreseeable, contract-typical damages.

8.3 Indemnification

The owner indemnifies Terra Mia Immobiliare against all third-party claims, in particular claims for damages from prospects, legal disputes, official measures, and tax claims.

§ 9 Contract Duration and Termination

9.1 Duration

The contract begins with registration and acceptance of these terms and runs for an indefinite period.

9.2 Ordinary Termination

Either party may terminate the contract with one month's notice to the end of the month. Termination must be made in writing by email to info@terra-mia.immo. Upon termination, all bookings and intermediations made prior to the termination date remain valid, including the commission obligation.

9.3 Extraordinary Termination

The right to extraordinary termination for good cause remains unaffected. Good cause includes in particular: serious contract violations, payment default of more than 14 days, false information about the property, or repeated violations of these terms.

§ 10 Data Protection

Terra Mia Immobiliare processes personal data in accordance with the General Data Protection Regulation (GDPR). The owner authorizes Terra Mia Immobiliare to share their contact details with prospects as part of the intermediary service. Details on data processing can be found in the privacy policy at terra-mia.immo/privacy-policy.

§ 11 Additional Services

Services beyond intermediation — such as website creation, extended content creation, translations, or contract translations — are provided on the basis of separate service agreements and charged separately. These terms and conditions do not apply to such additional services.

§ 12 Amendments to these Terms

Terra Mia Immobiliare reserves the right to amend these terms. Amendments will be communicated to the owner by email at least 14 days before taking effect and published at terra-mia.immo/terms-and-conditions. If the owner does not object within 14 days of notification, the amendments are deemed accepted. An objection constitutes extraordinary termination.

§ 13 Final Provisions

13.1 Written Form

Amendments and supplements to this contract require written form. Email is sufficient.

13.2 Severability Clause

Should any provision of these terms be invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely achieves the intended economic purpose.

13.3 Applicable Law and Jurisdiction

The laws of the Federal Republic of Germany shall apply. The place of jurisdiction for all disputes is Neuruppin, Germany.

13.4 Contract Language

These terms and conditions are provided in German, English, and Italian. In case of doubt, the German version shall prevail.
